Terms of Service

These Terms govern your use of dxlens.io and the DXLens application (the “Service”), operated by Estrela Neva Limited (“DXLens”, “we”). By signing in or using the Service, you agree to these Terms and to our Privacy Policy.

1. The Service

DXLens provides best-effort engineering metrics as a tool to support your team. The Service is not a source of truth, a compliance system, or a professional judgment. How you interpret, act on, or share metrics within your organization is entirely your responsibility.

DXLens connects to your GitHub organization via a GitHub App and produces engineering-delivery metrics, dashboards, and optional alerts from pull-request metadata. We do not access your source code.

2. Accounts & eligibility

You sign in with GitHub. You must be at least 18 and authorized to act for the organization you connect. You are responsible for activity under your account and for keeping your GitHub credentials secure. Organization admins are responsible for who they grant access to and which repositories and people they enable.

3. Your data & authority

You retain all rights to your data. You grant us the limited rights needed to process it to provide the Service (see the Privacy Policy). You represent and warrant that you have the authority and any necessary permissions or consents to connect the organization and its repositories, and to have contributor metadata processed for analytics. You will handle any employee notifications, works-council obligations, or consent requirements required by applicable law in your jurisdiction.

Don’t use the Service to break the law, infringe others’ rights, attempt to access data you’re not authorized to, disrupt or reverse-engineer the Service, or exceed rate limits or resell access without permission. You may not use the Service to develop, benchmark, or benefit a competing product or service. You may not use the Service to provide a similar service to third parties, whether as a reseller, agent, or on their behalf.

6. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by DXLens and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Any feedback, suggestions, or ideas you submit about the Service may be used by us without restriction or compensation to you. All rights not expressly granted to you are reserved.

7. Third-party services

The Service integrates with GitHub, and optionally Slack and other tools you connect; your use of those services is governed by their terms. Any integration with third-party services (including but not limited to GitHub, Slack, and email delivery) depends on those services’ continued availability, terms, and APIs. We are not responsible for their outages, changes, deprecations, or actions taken by them regarding your data or account.

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law.

You acknowledge that engineering metrics are proxies for activity, not measures of individual performance or productivity. Metrics must not be used as the sole or primary basis for hiring, firing, compensation, discipline, or other significant employment decisions. You are solely responsible for how metrics are used within your organization and for compliance with all applicable employment, labor, and data-protection laws. DXLens is not liable for outcomes resulting from your use of metrics in employment contexts.

The Service is provided without any guaranteed uptime or service level. We do not commit to specific availability, response times, or data-recovery objectives unless explicitly stated in a separate written agreement.

You are responsible for maintaining your own copies of any data or reports you wish to retain. DXLens is not liable for loss, corruption, or unavailability of data.

Marketing statements, blog content, and other public communications are provided for informational purposes and do not form part of these Terms or constitute warranties of any kind.

9. Limitation of liability

To the maximum extent permitted by law, DXLens will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total aggregate liability under these Terms shall not in any event exceed the greater of (a) USD 100, or (b) the fees actually paid by you for the Service in the three (3) months immediately preceding the event giving rise to the claim.

10. Suspension

We may suspend or restrict your access to the Service at any time, without notice, if we reasonably believe: (a) your use violates these Terms; (b) your use creates a security, legal, or operational risk to DXLens or its other customers; (c) payment is overdue; or (d) suspension is required by law. We will restore access when the issue is resolved. We are not liable for any loss, damage, or inconvenience resulting from a suspension made in good faith under this section.

11. Rate limits & fair use

We may impose reasonable rate limits or usage restrictions to protect the Service. Excessive or abusive use — including but not limited to unusually high API activity, repository counts significantly exceeding plan norms, or use that impairs performance for other customers — may result in throttling, temporary suspension, or plan adjustment.

12. Termination

You may stop using the Service and uninstall the GitHub App at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your data is handled as described in the Privacy Policy.

13. Force majeure

Neither party is liable for failure or delay due to causes beyond its reasonable control, including natural disasters, war, terrorism, government action, network outages, or third-party service failures (including GitHub or our sub-processors).

14. Assignment

You may not assign these Terms or transfer your account without our written consent. We may assign these Terms to a successor entity, affiliate, or acquirer without your consent.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

16. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DXLens regarding the Service, superseding any prior communications. The Service is offered on these standardized Terms only. We do not negotiate custom terms, redlines, or separate agreements, and any conflicting terms you propose (including in a purchase order or vendor form) have no effect unless we expressly agree in writing.

17. Notices

We may provide notices to you by email to your GitHub-primary email address or by posting in the Service. Notices to us should be sent to support@dxlens.io.

18. Changes

We may update these Terms at any time. The “Last updated” date at the top reflects the current version. It is your responsibility to review these Terms periodically. For material changes — those that significantly reduce your rights, increase your obligations, or change fees — we will provide notice through the Service or by email at least 30 days before the change takes effect. For all other changes (clarifications, typos, non-material updates), the updated Terms take effect immediately upon posting. Your continued use of the Service after any change constitutes your acceptance of the updated Terms. If you do not agree to a change, your only remedy is to stop using the Service.

19. Governing law

These Terms are governed by the laws of Hong Kong, excluding its conflict-of-laws rules. Disputes are subject to the courts of Hong Kong.

20. Beta & preview features

We may offer features marked as “beta”, “preview”, or “experimental”. Such features are provided as-is, may change or be removed at any time, and are excluded from any commitments in these Terms.
